1. Agreement to Terms

By accessing or using MapleExpense ("Service"), operated by Joel & Nanz Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

MapleExpense is a cloud-based expense management and receipt tracking platform designed for Canadian businesses and individuals. The Service includes:

  • Receipt scanning and OCR (Optical Character Recognition)
  • Expense categorization and GIFI code assignment
  • Bank transaction import and reconciliation
  • Financial reports and tax summaries
  • Multi-user collaboration within organizations
  • API access for integration (on applicable plans)

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Creation

To use MapleExpense, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 One Account Per Business

Important: Each MapleExpense account is designed for a single business entity or individual.

If you operate multiple separate businesses, you must create and maintain a separate MapleExpense account for each business. Mixing expenses from multiple business entities within a single account is not permitted and may result in account suspension.

This requirement ensures proper financial separation, accurate tax reporting, and compliance with accounting best practices. Each business account requires its own subscription.

4. Subscription and Billing

4.1 Free Trial

New users receive a 14-day free trial. During the trial period, you have access to all features of your selected plan. Your credit card will be charged automatically at the end of the trial period unless you cancel before then.

4.2 Subscription Plans

MapleExpense offers tiered subscription plans based on monthly receipt volume:

  • Plans range from 100 to 10,000+ receipts per month
  • All plans include unlimited users within your organization
  • Higher-tier plans include API access and priority support
  • Current pricing is available at mapleexpense.com/pricing

4.3 Billing and Payments

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Prices are listed in Canadian Dollars (CAD) and are subject to applicable taxes.

4.4 Upgrades and Downgrades

You may upgrade your plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the billing period. Downgrades require contacting our support team.

4.5 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. We do not offer refunds for partial months or unused services.

5. User Responsibilities

You agree to:

  • Provide accurate and truthful information when using the Service
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Use the Service in compliance with all applicable laws and regulations
  • Not upload malicious files, viruses, or harmful code
  • Not attempt to gain unauthorized access to the Service or other users' data
  • Not use the Service for any illegal purpose or to violate any laws
  • Not share your account with unauthorized users outside your organization

6. Data Ownership and Usage

6.1 Your Data

You retain all ownership rights to your data, including receipts, transactions, and financial information ("Your Data"). We do not claim ownership of Your Data.

6.2 License to Use Your Data

By using the Service, you grant us a limited license to process and store Your Data solely for the purpose of providing the Service to you. This includes sending receipt images to OpenAI for OCR processing.

6.3 Data Export and Deletion

You may export Your Data at any time in standard formats (Excel, CSV, PDF). You may also request complete deletion of Your Data using the "Purge My Data" feature in your account settings.

7. Privacy and Security

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

We implement industry-standard security measures, including encryption, multi-tenant data isolation, and regular security audits. However, no system is completely secure, and you acknowledge that you use the Service at your own risk.

8. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is the property of Joel & Nanz Inc. and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9. Third-Party Services

MapleExpense integrates with third-party services, including:

  • OpenAI: For OCR and receipt data extraction
  • Stripe: For payment processing

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party service providers.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Not Financial or Tax Advice

MapleExpense is a tool for organizing and tracking expenses. It does not provide financial, accounting, or tax advice. You should consult with qualified professionals for advice specific to your situation. We are not responsible for any financial decisions you make based on data from the Service.

10.3 OCR Accuracy

While our OCR technology strives for accuracy, we do not guarantee that all receipt data will be extracted correctly. You are responsible for reviewing and verifying all extracted data before using it for tax or accounting purposes.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOEL & NANZ INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Joel & Nanz Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease. You may export your data before termination.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Ontario, Canada.
